Quarkkit Boilerplate License Agreement

Grant of License

1.1 Subject to the terms of this Agreement

Licensor grants Licensee a non-exclusive, non-transferable, non-sublicensable license to use the Product to:

• Create unlimited projects.
• Build and develop applications or websites for personal or commercial use.

1.2 General Rights and Client Work

• You may modify the Product and create derivative works.
• You may incorporate the Product into End Products and deploy, distribute, and commercialize those End Products.
• Client Work: You may deliver End Products to clients. Clients may use and operate the delivered End Products, but cannot modify it to create a competing product.

Restrictions

Licensee shall not:

• Use the Product, or any derivative of it, to create, publish, sell, license, or distribute a competing product, including templates, starter kits, themes, UI kits, component libraries, frameworks, boilerplates, or no/low-code templates whose primary purpose is to enable others to build applications or websites.
• Resell or redistribute the Product as a standalone product, or make its source code publicly available (including posting to public repositories or CDNs for reuse by developers).
• Sub-license, rent, lease, lend, or transfer the Product or rights under this Agreement, except as expressly permitted for client work.
• Use the Product in violation of applicable laws, regulations, or third-party rights.
• Use the Product to generate content or code whose primary purpose is to replace the Product for other developers (including training models, code generators, UI builders) without Licensor's prior written consent.

Ownership and Intellectual Property

Licensor retains all ownership and intellectual property rights in and to the Product. This Agreement does not grant Licensee any ownership rights in the Product.

Warranty and Disclaimer

THE PRODUCT IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LICENSOR SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE USE OR INABILITY TO USE THE PRODUCT, EVEN IF LICENSOR HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of Czech Republic, without regard to its conflict of law principles. Any dispute arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts located in Czech Republic.

Entire Agreement

This Agreement constitutes the entire agreement between Licensee and Licensor concerning the Product and supersedes all prior or contemporaneous agreements, representations, warranties, and understandings.
